Subscription Terms & Conditions

IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT INITIATE PC SAFELOCK SOLUTION. BY SELECTING "I ACCEPT", "OK", "CONTINUE", "YES" OR BY INITIATING PC SAFELOCK SOLUTION IN ANY WAY, YOU (EITHER AS AN INDIVIDUAL USER OR AS AN ENTITY) ARE INDICATING YOUR COMPLETE UNDERSTANDING AND ACCEPTANCE OF THE TERMS OF THESE TERMS AND CONDITIONS, WHICH TOGETHER WITH THE PRIVACY POLICY, ANY PLAN OR FEATURE OR FUNCTIONALITY LIMITATION, SOLUTION DISCLAIMER OR OTHER RESTRICTIONS PRESENTED TO YOU IN PC SAFELOCK SOLUTION CONSTITUTES (collectively, the “AGREEMENT”).

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, SELECT THE REJECTING OPTION AND DO NOT INITIATE, DOWNLOAD, INSTALL, ACCESS OR USE PC SAFELOCK SOLUTION.

THE AGREEMENT CONTAINS PROVISIONS THAT REQUIRE YOU TO AGREE TO THE USE OF ARBITRATION TO RESOLVE ANY DISPUTES ARISING UNDER THE AGREEMENT RATHER THAN A JURY TRIAL OR ANY OTHER COURT PROCEEDINGS.

If PC SafeLock Solution is initiated or downloaded from the websites or market store (for paid or trial use purposes), this Agreement is accepted and a contract is formed when the end user (“You”) selects the "I Accept", "OK" or "Yes" button or box below prior to download or installation. The Agreement is made available on PC SafeLock websites as well for Your reference.

Certain PC SafeLock Solutions may require an active and stable connection to the Internet to function. It is therefore Your responsibility to ensure that You always have an active and stable Internet connection.

IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT ACTIVATE THE SOLUTION, DO NOT INSTALL OR ACCESS THE SOFTWARE OR OTHERWISE INDICATE REFUSAL, MAKE NO FURTHER USE OF THE SOFTWARE, AND CONTACT YOUR VENDOR OR CUSTOMER SERVICE FOR INFORMATION ON HOW TO OBTAIN A REFUND OF THE MONEY YOU PAID FOR THE SOFTWARE AT ANY TIME DURING THE THIRTY (30) DAYS PERIOD FOLLOWING THE DATE OF PURCHASE.

 

Scope of Services:

PC SafeLock includes all the necessary software for the listed services. Our support is specifically for this software and its services. If your computer has existing issues or needs repairs, you might be referred to our PC Repair service before we can install PC SafeLock. This could incur a PC Repair charge. Any issues outside of PC SafeLock services may also incur additional charges billed at our hourly rate. If we can't fix your pre-existing issue remotely, you might need to visit a local repair shop. We only offer onsite or in-shop repairs to local customers due to geographical and shipping limitations.

 

Services Not Covered:

• Hardware repair

• Operating system re-installation

• Support or installation of third-party software

 

Hourly Charges: PC SafeLock charges $100 per hour for issues outside the scope of our software and services. If you have purchased PC SafeLock, we bill in half hour increments for out-of-scope issues.

 

1. Definitions

1.1. “Agreement” is a legal agreement between PC SafeLock and You, for use of PC SafeLock Solution. This Agreement supersedes all agreements, understandings, and communications, whether written or oral between You and PC SafeLock. Any of Your users purchasing hereunder or using or accessing PC SafeLock Solution hereunder, or benefiting from Your use of PC SafeLock Solution, will be bound by, and comply with all terms and conditions of this Agreement. The entity accepting this Agreement will remain responsible for your users' acts and omissions unless otherwise agreed.

1.2. “Beta Solution/ Early Access Solution/ Evaluation Solution” means any trial of PC SafeLock Solution and any solution marked or otherwise designated as a beta, test version, early access, or other evaluation form, irrespective of whether any payment has been made.

1.3. “Documentation” means the applicable end user technical documentation that may include written directions, explanatory materials, policies, or associated media relating to PC SafeLock Solution, which may be made available on PC SafeLock websites or in electronic format.

1.4. “PC SafeLock Solution” means the entire PC SafeLock portfolio for home users or small businesses as presented on PC SafeLock websites or in other relevant service descriptions accompanying the transaction documents and may include associated media, printed materials, Documentation, and any Updates and technical support as stated herein. To the extent permitted by applicable law, PC SafeLock can modify its features, description, and/or minimum system requirements, in order to continuously improve the quality and content of its Solution.

1.5. “Update” means an update to the detection data or software made available to You, or any correction, update, upgrade, patch, or other modification or addition at PC SafeLock’s sole discretion, from time to time, but excluding any updates marketed and licensed for a separate fee.

1.6. “User” means an individual user, family member, employee, or contractor who uses or has access to or benefits from PC SafeLock Solution granted to You.

1.7. “You” or “Your” refers to any individual or legal entity that has accepted this Agreement and has purchased a subscription for PC SafeLock Solution. It also refers to authorized resellers or distributors of the respective legal entity, and their Users who use or access any PC SafeLock Solution.

2. Solution Registration

2.1. By accepting this Agreement, You agree to register Your PC SafeLock Solution. Registration requires a valid activation code available in the transaction documentation from PC SafeLock or its distributors or resellers from which You obtained PC SafeLock Solution. For some specific services, such as Identity Theft Protection, additional registration may be necessary for the proper functionality of the said service.

2.2. For online purchases made on PC SafeLock websites, Your subscription begins when Your purchase is completed, and the payment has been received. You must download and install PC SafeLock on Your devices in order to get protection. You agree and acknowledge that Your subscription’s availability begins from Your purchase date, and it shall be the date taken into consideration for calculating the length of Your subscription, regardless of the date You choose to activate such subscription.

2.3. For purchases made from PC SafeLock partners, Your subscription begins from Your purchase date or when You first register Your subscription, and it shall be the date taken into consideration for calculating the length of Your subscription, regardless of the date You choose to activate such subscription. You must download and install PC SafeLock Solution on Your devices in order to get protection.

​

2.4. Registration requires a valid PC SafeLock Account that includes a valid email address for renewal and other notices and a valid PC SafeLock Solution subscription. PC SafeLock Account is mandatory for the use of PC SafeLock Solution, as stated in the Documentation, and You have the obligation to provide accurate, complete, and current account information (including a valid email address) and to keep this information up to date. Failure to provide and update your account information could lead to PC SafeLock terminating Your account. Your account is exclusively for You to manage Your subscription of PC SafeLock Solution, including where permitted by the specific services, of Your household’s members or entity employees or contractors, and it is not for use by other third parties for any purpose. You may not sell, transfer, or allow others to use your account credentials. You may not attempt to gain unauthorized access to accounts of other users.

2.5. This Agreement covers PC SafeLock Solution for the permitted number of users or devices or interrogation limits, as detailed in the purchase documentation, the website, and related documentation, and any updates and upgrades to the PC SafeLock Solution provided to You under the purchased subscription or any related services as defined in the documentation. Some of our solutions may allow You to register your family members or entity members or their devices to use the PC SafeLock Solution. If you are enrolling a parent or senior, minor or child, spouse or domestic partner, employee, or contractor, You agree that the information You provide to PC SafeLock about yourself or members of your household or entity is true and accurate and that You are duly authorized to provide us this information, and to monitor their accounts, on their behalf. You further agree to this Agreement on their behalf.

2.6. PC SafeLock Solution offers Internet control software which shall be installed on Your device (computer, mobile, mobile computer device) that intercepts Internet-bound traffic to monitor traffic and allows You to limit access to certain content. The software on Your personal device connects to a server network infrastructure and then sends it to PC SafeLock servers for categorization.

2.7. PC SafeLock Solution may block certain unsafe applications that attempt to access protected resources on Your device. This may result in applications not starting or not behaving properly. Please note that granting access to these applications may result in data loss or data theft.

​

2.8. PC SafeLock Solution, having the Anti-Theft feature available, may allow You to track the device location, disable access to the device, transmit images that have been captured with the camera of Your device, or voice records that have been recorded by the recorder of Your device (if available). You may not use the services to gain unauthorized access or to upload, transmit, and transfer data or information to PC SafeLock or third parties by any means. You agree that Your use of these services will be in compliance with any laws which are applicable to You.

2.9. This Agreement is a legal agreement between You (either an individual or a legal person, including your users) and PC SafeLock for use of PC SafeLock Solution identified above, which includes software and services for Your devices, and may include associated media, printed materials, and "online" or electronic documentation, updates (hereafter designated as "PC SafeLock Solution"), all of which are protected by international copyright laws and international treaties. By installing, copying, or using PC SafeLock Solution, You agree to be bound by the terms of this Agreement.

3. Your Responsibilities

3.1. A device enabled to access the Internet is required to utilize PC SafeLock Solution. You are solely responsible for ensuring that Your devices are sufficient and compatible for use with PC SafeLock Solution. PC SafeLock may not be used to misrepresent or to act on behalf of others. All messages You transmit through PC.

3.2. PC SafeLock hereby grants You and only You the following non-exclusive, limited, non-sublicensable, non-commercial right to use PC SafeLock Solution for Your personal use only without the right to redistribute. You may not distribute, publish, copy, use, or sell, or permit others to distribute, publish, copy, use, or sell the PC SafeLock Solution. You may not reverse engineer, decompile, disassemble, modify, or create derivative works from the PC SafeLock Solution, except and only to the extent that applicable law expressly permits. You must comply with any technical limitations of the PC SafeLock Solution. You may not make more copies of the PC SafeLock Solution than specified herein or allowed under applicable law. You may not sublicense, rent, lease, and/or lend the PC SafeLock Solution. You may not, nor may you permit others, to provide, offer, or make available the PC SafeLock Solution as part of a facility management, timesharing, service provider, or service bureau arrangement.

3.3. You can use one copy of the PC SafeLock Solution on a single device only where applicable for software. If a greater number of copies and/or number of devices is specified within the sale transaction documentation from the authorized distributor or reseller from which You obtained PC SafeLock Solution (Permitted Number or permitted devices), You shall have the right to install PC SafeLock Solution in accordance with such specifications of Permitted number or permitted devices. If PC SafeLock Solution supports multiple platforms or languages, if You receive PC SafeLock Solution on multiple media, if You otherwise receive multiple copies of PC SafeLock Solution, or if You receive PC SafeLock Solution bundled with other software, the total number of Your Devices on which all versions of PC SafeLock Solution are installed may not exceed the Permitted Number. You may not use the PC SafeLock Solution for commercial purposes. You may access the PC SafeLock Solution for your own personal or household or company internal use only. Except as otherwise provided below, the PC SafeLock Solution may not be accessed, used, or shared with family members, non-family members, or other persons who do not reside with You.

3.4. You may not assault, interfere, deny service in any way or form to any other network, computer, or node through the PC SafeLock Solution, or attempt to gain unauthorized access to any PC SafeLock Solution, or the accounts of other users, or computer systems or networks connected to the Services or bypass any measures we may use to prevent or restrict access to the PC SafeLock Solution. You may not interfere with or disrupt servers or networks connected to any PC SafeLock Solution. You may not use the PC SafeLock Solution for any military purpose, including cyberwarfare, weapons development, design, manufacture, or production of missiles, nuclear, chemical, or biological weapons.

3.5. You must be 18 or older to purchase PC SafeLock Solution.

3.6. During the installation process, PC SafeLock Solution may uninstall or disable other security products if such products or features are incompatible with PC SafeLock Solution. PC SafeLock does not justify or support any unlawful, illicit, criminal, or fraudulent activities committed by using this feature. PC SafeLock will not be liable in any way for any such actions done by You. PC SafeLock may suspend or terminate Your account at any time, at its own discretion in case it is necessary for You to provide clarification, explanation, or additional information or if any investigation is needed. If Your account has been suspended, You must contact us for further information. We may suspend your user account for a reasonable period of time before we terminate a user account permanently. PC SafeLock may ask for indemnities.

4. Specific Terms to Certain Functionalities

The terms in this section are in addition to other terms and conditions stated in this Agreement for PC SafeLock Solution, including but not limited to Fair Usage Policy, Copyright, Warranties and Disclaimers, Limitation of Liability.

4.1. Assistant Role. Depending upon the PC SafeLock Solution that You have subscribed or otherwise registered to use, PC SafeLock may permit You to be enrolled (i) by telephone, (ii) on our website, (iii) by some other method we expressly permit, or (iv) by a third party who is authorized to receive on our behalf or provide your personal information to enroll you on your behalf. Applicable PC SafeLock Solution may be accessed and used by or on behalf of parents, in-laws, spouse/domestic partner, and/or minor children (for whom you are the legal guardian or parent), employees, or contractors and who may not reside with You. If you are enrolling a parent or senior, minor or child as their guardian, spouse or domestic partner, or even an employee or contractor, You are responsible for the accuracy of the information and assuring that it is up to date. Further, You agree you are duly authorized to provide to us their personal information and You are duly authorized by them to monitor their accounts on their behalf. Upon completion of the enrollment process, and payments of any fees, You will become eligible to receive the PC SafeLock Solution for You and those users You have enrolled. You further agree you are acting on behalf of those you have enrolled and expressly agree to this Agreement on their behalf.

4.2. Certain PC SafeLock Solution may include the ability to receive SMS text messages, email, push notifications, and other notifications and the ability to access the services for which You have enrolled or registered through a mobile-enabled application and You may need to provide permissions for PC SafeLock to contact You including your users via SMS text messages, email, push notifications, or automated telephone recordings to fulfill the service. To register, You must provide us with certain information, including your name, mobile telephone number, and email address, and must also create a username and password.

4.3. For web protection features, You agree that this service can access your web, supported email providers such as Gmail, Outlook, to scan the contents of the mailbox (incoming mails) and provide a safety verdict to prevent users from accessing dangerous ones and other third-party account content to ensure You are able to search and use the web with confidence.

​

4.4. For certain features, PC SafeLock could monitor your accounts on popular social media sites and notify you of suspicious activity or potentially malicious links. It does not monitor chat or direct messages.

​

5. Fair Usage Policy

5.1. You must not use PC SafeLock Solution in any way that violates this Agreement, including but not limited to any use prohibited by law, regulation, government order, or decree, or any use that violates the rights of others. You represent and warrant to us that You will use PC SafeLock Solution (and any of the information therein) to protect against or prevent actual fraud, unauthorized access to Your data, claims or other liabilities, and not for any other purpose.

​

5.2. For the avoidance of any doubt, You will not use any information made available by PC SafeLock Solution to: (a) transmit or upload data if You do not have the right to do so; (b) transmit or upload data that is libelous, threatening, abusive, unlawful, illegal or encourages a criminal offense; (c) intentionally transmit or upload any software viruses, malware, spyware or any other code, file or program that is designed to interrupt, destroy or limit the functionality of any computer software, hardware or telecommunications equipment; (d) otherwise interfere in any manner with the use or operation of PC SafeLock Solution; or (e) use PC SafeLock Solution in the development, directly or indirectly, of any solution, product, software or service that offers any functionality substantially similar to, or competitive with PC SafeLock Solution.

​

5.3. The following is a non-exhaustive list of practices that would not be considered fair usage: i) Using subscriptions for telemarketing or services offered to third parties to generate income for Yourself or others; ii) Re-selling or sharing subscription activation codes to other users (this may lead in breach of a party privacy rights);

​

5.4. Other practices may be relevant in determining fair usage, therefore PC SafeLock reserves the right to take any unlawful, prohibited, abnormal or unusual activity into account in making its determination. PC SafeLock may, at its option, terminate or suspend its relationship with You, and Your use of any PC SafeLock Solution immediately if it determines You are using PC SafeLock Solution contrary to fair use practices.

​

6. Free, Trial or Beta Subscription

6.1. If You are a free, trial or beta user, You may use PC SafeLock Solution for evaluation or testing purposes in a non-production environment for thirty (30) days from the date You download PC SafeLock Solution (the "Trial Period"). During the Trial Period, You can receive web or email-based technical support in the country where You are located and Updates, if applicable, without any guarantee or warranty of any kind.

THE PROVISIONS OF THIS SECTION APPLY IN LIEU OF SECTION WARRANTIES WITH RESPECT TO ANY FREE/TRIAL AND BETA SOLUTIONS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PC SAFELOCK SOLUTION USED FOR FREE, TRIAL PURPOSES OR BETA SOLUTIONS ARE PROVIDED TO YOU "AS IS" WITHOUT WARRANTIES OF ANY KIND. THE FREE, TRIAL OR BETA SOLUTION HEREUNDER IS BELIEVED TO CONTAIN DEFECTS AND A PRIMARY PURPOSE OF THIS BETA TESTING IS TO OBTAIN FEEDBACK ON SOFTWARE AND SERVICES PERFORMANCE AND THE IDENTIFICATION OF DEFECTS. YOU ARE ADVISED TO SAFEGUARD IMPORTANT DATA, TO USE CAUTION AND NOT TO RELY IN ANY WAY ON THE CORRECT FUNCTIONING OR PERFORMANCE OF THE SOFTWARE AND/OR ACCOMPANYING MATERIALS. WHERE LEGAL LIABILITY CANNOT BE EXCLUDED BY THIS DISCLAIMER, BUT MAY BE LIMITED, PC SAFELOCK’S LIABILITY AND THAT OF ITS SUPPLIERS/LICENSORS/RESELLERS UNDER THIS AGREEMENT RELATED TO PC SAFELOCK SOLUTION, SHALL BE LIMITED IN THE AGGREGATE TO THE SUM OF TEN DOLLARS (USD$10.00) OR THE EQUIVALENT IN THE LOCAL CURRENCY.

6.2. Your right to use PC SafeLock Solution ends when the Free, Evaluation or Trial Period ends or if You violate any term of this Agreement. Upon termination of the Trial Period, You must delete or destroy all copies of PC SafeLock Solution and Documentation and stop using the Service. Your obligations and rights under this Agreement will continue to apply after the end of the Trial Period.

7. Right to Use PC SafeLock Solution. Validity. Payment Terms. Automatic Renewal.

7.1. You are granted a non-exclusive, personal, revocable, non-transferable right to use PC SafeLock Solution on the device for which it is provided and that You own or control, subject to any terms of service, usage rules, or other terms and conditions provided by the Third Parties (defined below). You will have certain rights to use PC SafeLock Solution during the Subscription Period, which shall begin on the date You purchase/first register (depending on sales channel) Your PC SafeLock Solution on Your account, regardless of the number of copies that You are permitted to use, and shall last for the period of time set forth in the applicable transaction documentation from either PC SafeLock or its distributors or resellers from which You obtained PC SafeLock Solution. All Your subscriptions will automatically renew for periods equal to Your initial Subscription Term and You will be charged at our then-current rates unless You cancel Your subscription through the PC SafeLock Central Account prior to Your next scheduled billing date or by email to: cancel@PCSafeLock.com. Our pricing, including any renewal price, is subject to change, and we will notify You in advance.

7.2. Automatic Renewal. You agree to permit PC SafeLock directly or through its providers to automatically renew Your subscription to PC SafeLock Solution by charging a valid credit card number which You have provided them. By providing payment information, You are authorizing to charge Your card information, through the authorized provider for the subscription fees associated with PC SafeLock Solution fees that You sign up for. Your subscription will be automatically renewed prior to the expiration of the term and each anniversary thereafter for a fee at PC SafeLock's then-current price and any applicable taxes, excluding promotional and discount pricing offered at the renewal time. You agree to provide the payment provider the current, complete and accurate information for Your billing account. You must promptly update all information to keep Your billing account current, complete, and accurate (such as, but not limited to a change in billing address, credit card number, or credit card expiration date), and You must promptly notify if Your credit card is cancelled (such as, but not limited to for loss or theft). If You fail to provide any of the foregoing information, You agree that PC SafeLock through its payment providers may continue charging You for any subscription automatically renewed unless You inform not to renew Your subscription to PC SafeLock Solution prior to the expiration of Your subscription to PC SafeLock Solution and inform them of Your desire not to have such subscription automatically renewed. This Agreement will terminate automatically if You fail to comply with any of the limitations or other requirements described herein. You acknowledge that your subscription has recurring payment features, and You accept responsibility for all recurring payment obligations prior to cancellation of your subscription by You or PC SafeLock. We reserve the right to change the prices for any PC SafeLock Solution at any time. Any price change will take effect at the next subscription renewal date, and we will notify you in advance. PC SafeLock Solution may automatically be deactivated at the end of the Subscription Period, if You disable the automatic renewal and You will not be entitled to receive any feature or content updates to PC SafeLock Solution. Upon any termination or expiration of this Agreement, You must cease use of PC SafeLock Solution and destroy all copies of PC SafeLock and the Documentation. PC SafeLock through its providers reserves the right to verify credit or debit card payments prior to completing your subscription purchase and to (i) obtain and continue using updated credit card account information electronically, when applicable, from the card brands, (ii) retry failed payments to complete transactions, including but not limited to, retrying failed cards with extended expiration dates and, (iii) change or amend authorized third parties to assist with payment processing. You are personally responsible for any applicable state, federal, or other taxes that may be associated with your purchase of the PC SafeLock Solution and depending on applicable laws PC SafeLock reserves the right to collect any sales taxes applicable to your purchase.

8. Upgrades

8.1. If a PC SafeLock software is labelled as an upgrade, You must be properly subscribed to use a solution identified by PC SafeLock as being eligible for the upgrade in order to use PC SafeLock Solution. A PC SafeLock Solution labelled as an upgrade replaces and/or supplements the solution that formed the basis for Your eligibility for the upgrade. You may use the resulting upgraded product only in accordance with the terms of this Agreement. If PC SafeLock Solution is an upgrade of a component of a package of software programs that You received as a single PC SafeLock Solution, it may be used and transferred only as part of that single solution package and may not be separated for use by more than the total number of permitted users. The terms and conditions of this Agreement replace and supersede any previous agreements that may have existed between You and PC SafeLock regarding the original solution or the resulting upgraded solution. By using PC SafeLock Solution and accepting this agreement You consent to receive updates and upgrades to the software that will be automatically transmitted by PC SafeLock.

8.2. Important Notice. By using PC SafeLock Solution and accepting this Agreement You consent to receive, install, and use any updates and upgrades to the software that will be automatically transmitted by PC SafeLock. The functionality of PC SafeLock Solution can only be preserved during the Subscription Period if all received updates and upgrades are installed immediately following receipt. In case such updates and upgrades are subject to separate and additional subscription fees, PC SafeLock will inform You about such fees in advance.

8.3. PC SafeLock reserves the right to stop supporting its products or a version of its products or discontinue its solutions or product features. For the avoidance of doubt, for Free, Trial Licenses and Beta Solutions, PC SafeLock shall have no further obligation to You except providing prior termination notice. In case of termination of this Agreement due to breach of Your obligations, PC SafeLock shall have no obligation to provide notice and will stop Your access to PC SafeLock Solution immediately.

9. Updates

9.1. By accepting this Agreement, You acknowledge and agree that Your system will be used for receiving and serving Updates of the Solution through a peer-to-peer protocol. The protocol will not be used for anything other than transmitting and receiving PC SafeLock updates of signature files.

​

10. System Requirements

10.1. It is Your responsibility, at Your expense, to obtain, maintain, and operate suitable and fully compatible computer or mobile equipment (including, without limitation, a wireless router if You intend to use the Internet Service on multiple devices, or another device that provides for wireless connectivity) required to use the Solution acquired. You may find the applicable System requirements on the said Solution’s webpage on PC SafeLock’s website for each specific Solution.

10.2. PC SafeLock reserves the right to improve or change various features of its solutions or functionalities and features and to offer, from time to time, at no additional cost, migration to the new available versions of PC SafeLock Solution. Also, PC SafeLock, at its sole discretion, may modify certain features of the PC SafeLock Solution; such modifications will not materially affect the security offered by PC SafeLock. You expressly understand and accept that these changes/modifications/migrations can be made unilaterally by PC SafeLock, the only obligation of the latter being to notify the change (including by way of in-app or in-console notifications) 30 days in advance.

11. Copyright

11.1. All rights, titles, and interest in and to PC SafeLock Solution and all copyright rights in and to PC SafeLock Solution (including but not limited to any code, images, photographs, logos, animations, video, audio, music, text, and "applets" incorporated into PC SafeLock Solution), the accompanying printed materials, and any copies of PC SafeLock software are owned by PC SafeLock, with the understanding that rights, titles, and interest in and to certain third-party software identified in the accompanying Third-Party License Terms as published in the About section of the software, are owned by their respective owners.

11.2. In respect of the open-source software, the following stipulations shall apply to the extent expressly required by the licenses, the terms of relevant licenses (including, in particular, the scope of license as well as disclaimers of warranties and liabilities) shall apply to the respective Third-Party software in lieu of this Subscription agreement. Such Third-Party License Terms relating to respective software are located in the About section of the software. You acknowledge that the applicable third-party is solely responsible for its offerings and PC SafeLock makes no representations or warranties concerning those offerings and accepts no liability with respect to them, and if You acquire or use any of these third-party offerings, the offerings and Your use of them will be governed by any license agreements, terms of use, privacy policies and/or other terms and conditions required by the third-party.

11.3. PC SafeLock Solution is protected by copyright laws and international treaty provisions. Therefore, You must treat PC SafeLock like any other copyrighted material. You may not copy the printed materials accompanying PC SafeLock. You must produce and include all copyright notices in their original form for all copies created, irrespective of the media or form in which PC SafeLock exists. You may not reverse engineer, decompile, disassemble, create derivative works, modify, translate, or make any attempt to reconstruct or to discover the source code for PC SafeLock Solution or underlying ideas, algorithms, file formats, programming or functionality of PC SafeLock Solution, unless otherwise allowed under the local legislation applicable to You. You may not permit third parties to benefit from PC SafeLock Solution. You may not remove any proprietary notices or labels on PC SafeLock or its lawful owners. All rights not expressly set forth hereunder are reserved by PC SafeLock.

OPEN-SOURCE SOFTWARE IS PROVIDED BY PC SAFELOCK “AS IS, WITH ALL FAULTS, AS AVAILABLE” WITHOUT (AND PC SAFELOCK SPECIFICALLY DISCLAIMS) ANY GUARANTEE, CONDITION, OR WARRANTY (EXPRESSED, IMPLIED, OR OTHERWISE) OF ANY KIND OR NATURE, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, TITLE, AND/OR NON-INFRINGEMENT. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, AS IT RELATES TO ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH OPEN SOURCE SOFTWARE, PC SAFELOCK SHALL HAVE NO LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES, HOWSOEVER CAUSED AND/OR OTHERWISE BASED ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF OPEN SOURCE SOFTWARE, EVEN IF YOU OR PC SAFELOCK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.4. Third Party Features. The PC SafeLock Solution may include third-party features and functions including access through a third-party’s API or may allow you to access content on a third-party website. Such features, functions, or content may be subject to third-party terms of service and privacy policies. You acknowledge sole responsibility and assume all risk arising from your use of any third-party resources accessed through our PC SafeLock Solution.

12. Feedback

12.1. It is expressly understood, acknowledged, and agreed that You shall, regardless of whether or not formally requested to do so, provide PC SafeLock reasonable suggestions, comments, testimonials, and feedback regarding PC SafeLock Solution, including but not limited to usability, bug reports, and test results, with respect to PC SafeLock Solution testing (collectively, "Feedback"). If You provide such Feedback to PC SafeLock, You shall grant PC SafeLock the following worldwide, exclusive, perpetual, irrevocable, royalty-free, fully paid-up rights: (i) to make, use, copy, modify, sell, distribute, sub-license, and create derivative works of, the Feedback as part of any PC SafeLock Solution, technology, service, specification or other documentation (individually and collectively, "PC SafeLock Solutions"); (ii) to publicly perform or display, import, broadcast, transmit, distribute, license, offer to sell, and sell, rent, lease or lend copies of the Feedback (and derivative works thereof) as part of any PC SafeLock Solution; (iii) to sublicense to third parties the foregoing rights, including the right to sublicense to further third parties; and (iv) to sublicense to third parties any claims of any patents owned or licensable by You that are necessarily infringed by a third-party product/solution, technology or service that uses, interfaces, interoperates or communicates with the feedback or portion thereof incorporated into a PC SafeLock Solution, technology or service. Further, You warrant that Your Feedback is not subject to any license terms that would purport to require PC SafeLock to comply with any additional obligations with respect to any PC SafeLock Solutions that incorporate any Feedback and You will not provide Feedback that is known by You to be false, inaccurate or misleading and/or may be reasonably considered to be defamatory, libelous, hateful, offensive, unlawfully threatening or unlawfully harassing to anyone or that infringes a third party’s Intellectual Property Rights or other proprietary rights or rights of publicity or privacy or violates any applicable law, statute, ordinance or regulation; or that includes information that references other websites, addresses, email addresses, contact information, phone numbers, or other personally identifiable information for anyone and contains any potentially damaging computer programs or files.

13. Technical Support

13.1. Certain technical support features as stated in the standard technical support terms published by PC SafeLock on its websites will be offered by PC SafeLock for the Subscription term of PC SafeLock Solution and may include live chat with a technical support consultant and/or assistance from a technical support consultant via remote device access. If such features are offered and You choose to access such Technical Support, it shall be governed by the following conditions: Any such Technical Support shall be provided in PC SafeLock's sole discretion without any guarantee or warranty of any kind. It is solely Your responsibility to complete a backup of all Your existing data, software, and programs before receiving any Technical Support. In the course of providing the Technical Support, PC SafeLock may determine that the technical issue is beyond the scope of the Technical Support. PC SafeLock reserves the right to refuse, suspend or terminate any of the Technical Support in its sole discretion.

13.2. PC SafeLock reserves the right to stop supporting its solutions or a version of its solutions, or discontinue its solutions or solutions features or functionalities. End-of-support policies are posted on the PC SafeLock website and may be consulted at the following link: PC SafeLock Support.

14. Warranties and Disclaimers

14.1. PC SafeLock will maintain the material usability of the PC SafeLock Product during the Subscription Period through regular updates and upgrades substantially in accordance with the Documentation. PC SafeLock warrants that the media on which PC SafeLock is distributed is free from defects for a period of thirty days from the date of delivery of PC SafeLock to You. Your sole remedy for a breach of this warranty will be that PC SafeLock, at its option, may replace the defective media upon receipt of the damaged media, or refund the money You paid for PC SafeLock.

14.2. The warranty shall not apply if (i) PC SafeLock Solution has not been used in accordance with the terms and conditions of this Agreement and the Documentation; (ii) the issue has been caused by Your failure to apply Updates, Upgrades or any other action or instruction recommended by PC SafeLock, (iii) the issue results from any cause outside of PC SafeLock’s reasonable control, (iv) in the event of failure of PC SafeLock Solution arising or resulting from improper installation or any modification, alteration, or addition thereto, or any problem or error in the operating system software with which the software is installed and is designed to operate; (v) if any problem or error in PC SafeLock Solution has resulted from improper use, misapplication or misconfiguration, or the use of PC SafeLock Solution with other programs or services that have similar functions or features which are incompatible with PC SafeLock Solution; (vi) if PC SafeLock Solution is licensed or used as any free, evaluation, beta or trial version or for which PC SafeLock does not charge a royalty or license fee; or (vii) if PC SafeLock does not receive notice of a non-conformity within the applicable warranty period.

14.3. No warranties are provided for any free evaluation, beta or trial version.

​

14.4. PC SAFELOCK SOLUTION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, PC SAFELOCK AND ITS THIRD-PARTY PROVIDERS OR LICENSORS AND THEIR DATA PROVIDERS MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICES AND PC SAFELOCK DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO ANY RECOMMENDATION OR ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM PC SAFELOCK SOLUTION. YOU UNDERSTAND AND AGREE THAT PC SAFELOCK HEREBY EXPRESSLY DISCLAIMS ANY IMPLIED OR EXPRESS WARRANTIES AND CONDITIONS, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, LOSS OF DATA, FALSE POSITIVES OR FALSE NEGATIVES, DEVICE FAILURE OR MALFUNCTION, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INTERFERENCE, TIMELINESS, COMPLETENESS, CURRENTNESS, RELIABILITY OR ACCURACY OF DATA, RELIABILITY OR ACCURACY OF INFORMATIONAL CONTENT, SYSTEM INTEGRATION, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS BY FILTERING, DISABLING, OR REMOVING SUCH THIRD-PARTY’S SOFTWARE, SPYWARE, ADWARE, COOKIES, EMAILS, DOCUMENTS, ADVERTISEMENTS AND THE LIKE, NOR THAT SOFTWARE WILL DETECT ANY OR ALL SECURITY OR MALICIOUS CODE THREATS OR USE OF PC SAFELOCK SOLUTION, PRODUCTS, SOFTWARE AND SERVICE, FUNCTIONALITIES, FEATURES, ENHANCEMENTS, MAINTENANCE OR SUPPORT RELATED THERETO, OR ANY OTHER MATERIALS (TANGIBLE OR INTANGIBLE) OR SERVICES AND UPDATES SUPPLIED BY PC SAFELOCK WILL KEEP YOUR NETWORK, CLOUD OR ENDPOINTS OR ANY SYSTEMS AND DEVICES FREE FROM ALL VIRUSES OR OTHER MALICIOUS OR UNWANTED CONTENT OR SAFE FROM INTRUSIONS OR OTHER SECURITY ATTACKS/ SCAMS/ BREACHES WHETHER ARISING BY STATUTE, LAW, COURSE OF DEALING, CUSTOM AND PRACTICE, OR TRADE USAGE AND WILL NOT BE LIABLE FOR ANY LOSS OR INJURY ARISING OUT OF OR CAUSED IN WHOLE OR IN PART BY USE OF PC SAFELOCK SOLUTION OR THE DATA THEREIN.

14.5. PC SAFELOCK SOLUTION IS NOT FAULT-TOLERANT AND IS NOT DESIGNED OR INTENDED FOR USE IN ANY HAZARDOUS ENVIRONMENT REQUIRING FAIL-SAFE PERFORMANCE OR OPERATION. PC SAFELOCK SOLUTION IS NOT FOR USE IN THE OPERATION OF AIRCRAFT NAVIGATION, NUCLEAR FACILITIES, OR COMMUNICATION SYSTEMS, WEAPON SYSTEMS, DIRECT OR INDIRECT LIFE-SUPPORT SYSTEMS, AIR TRAFFIC CONTROL, OR ANY APPLICATION OR INSTALLATION WHERE FAILURE COULD RESULT IN DEATH, SEVERE PHYSICAL INJURY OR PROPERTY/ENVIRONMENTAL DAMAGES.

14.6. YOU SHALL BE SOLELY RESPONSIBLE FOR PROPER BACK-UP OF ALL DATA AND YOU SHALL TAKE APPROPRIATE MEASURES TO PROTECT SUCH DATA. PC SAFELOCK ASSUMES NO LIABILITY OR RESPONSIBILITY WHATSOEVER IF DATA IS LOST OR CORRUPTED.

15. Limitation of Liability

15.1. THIS SECTION STATES PC SAFELOCK’S ENTIRE LIABILITY AND YOUR SOLE AND EXCLUSIVE REMEDY FOR INFRINGEMENT AND MISAPPROPRIATION CLAIMS.

15.2. PC SAFELOCK SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR DATA USE OR DAMAGES THAT WERE REASONABLY FORESEEABLE BY BOTH PARTIES BUT COULD HAVE BEEN PREVENTED SUCH AS, FOR EXAMPLE, LOSSES CAUSED BY VIRUSES, MALWARE, OR OTHER MALIC

17. Consent to Electronic Communications

17.1. PC SafeLock may send You legal notices and other communications about the Software and Maintenance subscription services or our use of the information You provide us ("Communications"). PC SafeLock will send Communications via in-product notices or via email to the primary user's registered email address or will post Communications on its Sites. By accepting this Agreement, You consent to receive all Communications through these electronic means only and acknowledge and demonstrate that You can access Communications on Sites.

18. Data Collection Technology

18.1. PC SafeLock informs You that in certain programs or solutions it may use data collection technology to collect technical information (including suspect files), to improve the products, to provide related services, to adapt them and to prevent the unlicensed or illegal use of the product or the damages resulting from the malware products.

​

18.2. All the information on how the personal data is processed during the usage of PC SafeLock Solution and services is specified in the PC SafeLock Privacy Policy. By accepting this Agreement, You agree that Your personal data will be collected according to the Privacy Policy published on: PC SafeLock Privacy Policy.

​

18.3. By accepting this Agreement, You acknowledge and agree that the security technology used may scan the traffic in an impersonal mode to detect the malware and to prevent the damages resulting from the malware products. You acknowledge and accept that PC SafeLock may provide updates or additions to the program or product which automatically download to Your device. By accepting this Agreement, You acknowledge and agree that in certain/limited instances, the PC SafeLock solution may, as part of its functionality, upload suspicious files or segments of files to PC SafeLock servers for the explicit purpose of scanning. This proactive measure is undertaken to enhance the solution's detection capabilities, improve overall performance, and ensure system stability. PC SafeLock is committed to ensuring the privacy and security of personal data during this process, in strict compliance with applicable data protection laws and regulations.

18.4. In addition to PC SafeLock Solution registration information, PC SafeLock must process and store certain information about Your network and equipment to provide maintenance and related support services. To improve its products, PC SafeLock may also upload information periodically from installed PC SafeLock Solution about product usage, detected malware or potentially unwanted files and use Service traffic to improve its databases and heuristics. You agree that PC SafeLock may (i) use uploaded data from installed PC SafeLock Solution to improve products and services; (ii) use uploaded data for analysis or reporting purposes only if any such use does not identify You or include any information that can be used to identify any individual person. PC SafeLock reserves the title, ownership and all rights and interest to any intellectual property or work product resulting from its use and analysis of such information. By using PC SafeLock Solution, You acknowledge and agree that PC SafeLock may collect, disclose, store and analyze this information for the purposes above mentioned. To promote awareness, detection and prevention of Internet security risks, PC SafeLock may share certain anonymized information with research organizations and other security software vendors.

18.5. Certain functionalities of PC SafeLock solutions, as provided under this Agreement, may allow You to protect sensitive information on Your device. You will be required to provide a password in order to encrypt and protect such information. You are aware that the features and functionalities may sync encrypted information across devices based on Your request. You will not be able to recover the information You have encrypted if You lose or forget the password. You are aware that the level of encryption that can be used by PC SafeLock Solution should protect Your information from the average device user; however, You acknowledge that the encryption may be broken. You also acknowledge that information that has been encrypted may not be unencrypted if Your hard drive has bad sectors or fails. PC SafeLock shall not be held responsible for access of Your information where You have provided Your password to a third-party or have failed to use reasonable efforts to protect such information, password, answers to challenge questions or for user error.

19. Force Majeure

Neither Party shall be in breach of the Agreement in the event it is unable to perform its obligations as a result of natural disaster, war, emergency conditions, labor strike, acts of terrorism, the substantial inoperability of the Internet, the inability to obtain supplies, or any other reason or condition beyond its reasonable control; provided, however, if such reasons or conditions remain in effect for a period of more than thirty (30) calendar days, either Party may terminate the Agreement affected by such force majeure following the written notice to the other Party.

20. Export Control

You must comply with all applicable U.S. and international laws governing export and re-export of PC SafeLock Solution, including the U.S. Export Administration Regulations, as well as end-user, end-use and destination restrictions issued by U.S. and other governments. Without derogating from the generality of the foregoing: (i) You represent that You are not a member of any of the denied person list, unverified list, entity list, specially designated nationals list, debarred list or any other lists published by the U.S. Government; and (ii) You will not use, export or re-export PC SafeLock Solution to territories, destinations, companies or individuals in violation of U.S. and E.U. embargoes or trade sanctions. You will indemnify, defend and hold PC SafeLock harmless from and against any claim, demand, suit or proceeding, and all damages, liabilities, costs and expenses arising from Your failure to comply with this obligation.

21. No Third-Party Beneficiaries

This Agreement is intended solely for the benefit of You and PC SafeLock and the other PC SafeLock Group companies, and their respective agents, licensors, representatives, suppliers, distributors, resellers and other business partners. No person who is not a party to this Agreement may bring a cause of action pursuant to this Agreement as a third-party beneficiary hereof.

22. General

22.1. This Agreement will be governed by the laws of the United States and by applicable copyright regulations and treaties. The exclusive jurisdiction and venue to adjudicate any dispute arising out of this Subscription Agreement shall be of the courts of the United States. Nothing in this Subscription Agreement will diminish any rights You may have under existing consumer protection legislation or other applicable laws in Your jurisdiction that may not be waived by contract.

22.2. No Class Actions. YOU AND PC SAFELOCK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both You and PC SafeLock agree otherwise, the court may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

22.3. In the event of invalidity of any provision of this Agreement, the invalidity shall not affect the validity of the remaining portions of this Agreement.

​

22.4. This Agreement describes certain legal rights. You may have other rights under the laws of Your state or country. You may also have rights with respect to the party from whom You acquired PC SafeLock Solution. This Agreement does not change Your rights or obligations under the laws of Your state or country if the laws of Your state or country do not permit it to do so.

​

22.5. PC SafeLock and PC SafeLock logos are trademarks of PC SafeLock. All other trademarks used in the product or in associated materials are the property of their respective owners. The Subscription will terminate immediately without notice if You are in breach of any of its terms and conditions. You shall not be entitled to a refund from PC SafeLock or any resellers of PC SafeLock as a result of termination. The terms and conditions concerning confidentiality and restrictions on use shall remain in force even after any termination.

22.6. PC SafeLock reserves the right to cooperate with any legal process and any law enforcement or other government inquiry related to Your use of PC SafeLock Solution. This means that PC SafeLock may provide documents and information relevant to a court subpoena or to a law enforcement or other government investigation.

​

22.7. PC SafeLock may revise the terms of this Agreement at any time and the revised terms shall automatically apply to the corresponding versions of PC SafeLock Solution distributed with the revised terms. If any part of these terms is found void and unenforceable, it will not affect the validity of the rest of the Terms, which shall remain valid and enforceable. From time to time, PC SafeLock reserves the right to change the name of its solutions in its sole discretion.

22.8. This Agreement has been originally prepared in English. Although PC SafeLock can provide translated versions of this Agreement for Your convenience, the English language version of this Agreement will be the governing version of this Agreement in the case of any conflict or discrepancy.

​

22.9. Notwithstanding that this Agreement has been prepared by PC SafeLock, You confirm that this Agreement constitutes the understanding of the parties and is intended to be construed in a manner that is consistent with the subject matter and activities contemplated by, and the terms and conditions of the Agreement. No rule of strict construction with respect to this Agreement shall be applied against either party.
